SkyWorks Holdings today announced transactions and activities performed during Q1 2017 for its Asset Management, Investment Banking & Management Consulting Groups.

Asset Management Group Activities:

Asset Management Services, provided through SkyWorks Leasing, included transactions for 34 aircraft and additional services as follows: 

  • SkyWorks sourced and advised a U.S. based investor on the acquisition of one A319 aircraft on lease to American Airlines. 
  • SkyWorks arranged the sale of a portfolio of 10 A319 aircraft on lease to American Airlines on behalf of a U.S. investor. 
  • SkyWorks arranged extensions of the leases for two A320s with Bangkok Airways on behalf of a U.S. based investor.
  • SkyWorks arranged the sale of five ERJ145LRs in connection with United Airlines lease expiries on behalf of a U.S. based investor.
  • On behalf of a U.S. investor, SkyWorks provided investment analysis for 16 aircraft.
  • SkyWorks has also been retained to remarket the following aircraft:
  • Three 2002/3-vintage A330-200s, available immediately for sale or lease. 
  • Five 1998-2000-vintage DHC8-300s, available for sale or lease in July 2017.
  • Two 1992-vintage B767-300ER aircraft, available for sale in November and December 2017.
  • One 1996-vintage B757-200, available immediately for sale or lease.

Investment Banking & Management Consulting Group Activities:

 

Investment Banking and Management Consulting Services, provided through SkyWorks Capital, included the following: 

  • On behalf of AeroMexico, SkyWorks arranged a JOLCO for the third 787-9 aircraft delivered by Boeing to AeroMexico (MSN 43861). Yamasa provided the equity financing, Commerzbank was the Facility Agent and NTT Finance, JA Mitsui, IBJ Leasing and Showa Leasing were lenders.
  • On behalf of Air Canada, SkyWorks arranged JOLCO financing for two 787-9 aircraft delivered by Boeing. The landmark transactions were the first-ever JOLCO deals for Air Canada and in Canada. For the first aircraft, Sumitomo Mitsui Finance and Leasing underwrote the equity investment and Sumitomo Mitsui Banking Corporation provided the debt portion of the financing. For the second aircraft, FPG, advised by FPG-AIM, underwrote the equity and DVB Bank SE and Mega International Commercial Bank provided the debt portion of the financing.
  • On behalf of Atlas Air Worldwide Holdings, SkyWorks arranged a three-year $150 million secured revolving credit facility for general corporate purposes, including financing the acquisition and conversion of 767 aircraft prior to obtaining permanent financing for them.
  • On behalf of Air Greenland, SkyWorks completed a comparative evaluation of different widebody replacement alternatives for its A330-200 aircraft.
  • SkyWorks was engaged by a Caribbean flag carrier to provide fleet- and network-related advisory services.
  • SkyWorks was engaged by an Asia Pacific flag carrier to provide fleet- and network-related advisory services.
  • SkyWorks was engaged by a Middle East investor to provide due diligence and debt restructuring advisory services.
  • SkyWorks continued to serve as arranger/advisor to Delta Air Lines under a 2016 engagement to arrange sale and leaseback financing for 22 narrowbody aircraft (a combination of A321s and 737-900ERs) and three A330s.  During the quarter, five aircraft closings were completed.

Asset Management Group Activities

Asset Management Services, provided through SkyWorks Leasing, included transactions for 19 aircraft and additional services as follows:

  • On behalf of Perilune Group and SHZ Aviation, SkyWorks arranged the sale and the transfer of the related financing of nine 2013-14 vintage A319s (s/n’s 5327, 6085, 6154, 6263, 6277, 6310, 6349, 6384 and 6393) on lease to American Airlines to a Dublin, Ireland-based lessor.
  • On behalf of a U.S. investor, SkyWorks arranged the acquisition of two A320-200 aircraft on lease to American Airlines. Both aircraft were added to SkyWorks’ portfolio of aircraft under management.
  • On behalf of a U.S. investor, SkyWorks arranged the sale of four 737-300 aircraft with stub leases to Southwest Airlines.
  • On behalf of a U.S. investor, SkyWorks arranged the sale of one MD-11F aircraft and one A300-600F aircraft on lease to FedEx.On behalf of a U.S. investor, SkyWorks arranged the sale of two A319 aircraft on lease to American Airlines and one 757-200 on lease to United Airlines.
  • On behalf of a U.S. investor, SkyWorks provided investment analysis for a portfolio containing 56 aircraft.

Investment Banking & Management Consulting Group Activities

Investment Banking and Management Consulting Services, provided through SkyWorks Capital, included the following:

  • On behalf of AeroMexico, SkyWorks arranged financing for the second 787-9 aircraft delivered by Boeing to AeroMexico.                                         
  • On behalf of a confidential client, SkyWorks arranged a $150 mm Revolving Credit Facility.                                      
  • SkyWorks concluded its engagement as an advisor to GOL in the successful out-of-court restructuring of its existing fleet-related lease obligations.                                         
  • SkyWorks completed an assignment serving as advisor to a confidential operator in its trans-Atlantic joint venture negotiations.                                               
  • SkyWorks advised Fiji Airways on the acquisition of five Boeing 737 MAX aircraft and their subsequent sale and leaseback agreements with GECAS.
  • SkyWorks provided strategic advisory services to a top 10 aircraft operating lessor.                                           
  • SkyWorks continued to serve as an arranger/advisor to Delta in the SLB of 17 narrowbody aircraft (a combination of A321s and 737-900ERs) and three A330s. During the quarter, eight aircraft closings were completed with two different lessors.                                  
  • SkyWorks continued to serve as an advisor to the Unsecured Creditors Committee in the Republic Airways Chapter 11 Bankruptcy restructuring, focusing on evaluating the go forward business plan (capacity purchase agreements, fleet, cost structure) and plan of reorganization matters.

  • On behalf of a U.S. investor, SkyWorks arranged the acquisition of one B737-700 on lease to Southwest Airlines. SkyWorks has been retained to manage the aircraft on behalf of the buyer. 
  • On behalf of two U.S. investors, SkyWorks arranged the lease extensions of five A320s on lease to United Airlines. 
  • On behalf of various investor clients, SkyWorks arranged for Letters of Intent pertaining to the sale of 21 aircraft in four separate transactions (A319s, B737s, B757s and ERJ145s) as well as the acquisition of two A320s, all expecting to close in Q4 2016.

Asset Management Group Activities 

Asset Management Services, provided through SkyWorks Leasing, involved 20 aircraft in Q2 2016 and included the following: 

On behalf of Finnair, SkyWorks arranged the sale of one A340-300 removed from service. 

On behalf of a U.S. Investor, SkyWorks arranged the sale of two B737-700s on lease to United Airlines. 

On behalf of SAS, SkyWorks arranged the sale of three MD90s to Delta Air Lines. These were the final deliveries originating from multiple sales transactions between SAS and Delta starting in 2010, all arranged by SkyWorks, encompassing eight MD90s, 23 MD80s, three B717s and 10 JT8D-217C engines. 

On behalf of a U.S. Investor, SkyWorks sourced and arranged the acquisition of one A319 and two A320s on lease to Bangkok Airways. SkyWorks has been retained to manage the aircraft on behalf of the buyer. 

On behalf of a U.S. Investor, SkyWorks arranged the sale of one B767-300ER to Colt Transportes Aereos, Brazil. The aircraft will be operated on ACMI lease for the Brazilian Air Force. 

On behalf of a U.S. Investor, SkyWorks arranged the lease returns of four B737-400s from Alaska Airlines. Two of the aircraft were subsequently placed on lease to Safair, South Africa. 

On behalf of a U.S. Investor, SkyWorks arranged the sale of one B737-700 and five B737-800 on lease to United Airlines.

Investment Banking & Management Consulting Group Activities 

Investment Banking and Management Consulting Services, provided through SkyWorks Capital, included the following: 

SkyWorks was engaged to serve as an arranger/ advisor to Atlas Air in the financing of 20 767 freighter aircraft related to Atlas Air's contract with Amazon. 

Together with InterVISTAS, SkyWorks was engaged to serve as an advisor to Fastjet in the ongoing review of its business plan. The project includes an evaluation of the economic performance (revenue and cost) of aircraft alternatives, including transition costs and tasks should a new type be inducted. 

SkyWorks continued to serve as an arranger/ advisor to AeroMexico in the SLB and PDP financing of 10 737 MAX aircraft. 

SkyWorks continued to serve as an arranger/ advisor to AeroMexico in the JOLCO financing of 787-9 aircraft. 

SkyWorks continued to serve as an arranger/ advisor to Air Canada in the JOLCO financing of 787-9 aircraft. 

SkyWorks continued to serve as an arranger/ advisor to Delta in the SLB of 17 narrowbody aircraft (a combination of A321s and 737-900ERs) and three A330s, all delivering in 2016. Some of the financings have already closed while others are in documentation. 

SkyWorks continued to serve as an advisor to Fiji Airways in its evaluation of a potential narrowbody fleet upgrade from current NG aircraft to newer and possibly new engine technology aircraft; SkyWorks is also currently engaged to source five replacement narrowbody aircraft for Fiji. 

SkyWorks continued to serve as an advisor to GOL in the out-of-court restructuring of its existing fleet-related lease obligations, as part of the company's overall restructuring process. 

SkyWorks continued to serve as an advisor to the Unsecured Creditors' Committee in the Republic Airways Chapter 11 Bankruptcy restructuring, focusing on evaluating the go forward business plan (capacity purchase agreements, fleet, cost structure) and claims.

SkyWorks today announced asset management transactions and activities performed during Q1 2016. Provided through SkyWorks Leasing, the transactions involved 20 aircraft and two engines and included the following: 

On behalf of Scandinavian Airlines System (“SAS”), SkyWorks arranged the sale of two JT8D-217C engines to Delta Air Lines, Inc. (“Delta”). These deliveries marked the last sales in a transaction commenced in 2012 and where 23 MD80s and 10 spare engines have been sold and delivered by SAS to Delta. In another transaction arranged by SkyWorks, Delta acquired four MD90-30 aircraft previously on lease from SAS. 

On behalf of a US-based investor, SkyWorks arranged the sale of a B757 aircraft to an undisclosed operator. 

For another US –based investor and longstanding portfolio client, SkyWorks arranged the sale of 15 ERJ135s previously operated by ExpressJet Airlines, Inc. In addition, SkyWorks marketed a portfolio of nine aircraft (B757, B737NGs and A319s on lease to United Airlines, Inc. and American Airlines, Inc.) and executed a Letter of Intent with a single buyer for all aircraft. The sale is expected to close in Q2 2016.

SkyWorks Holdings today announced transactions and activities performed during Q4 2015 for its Asset Management, Investment Banking & Management Consulting Groups. 

Asset Management Group Activities

Asset Management services, provided through SkyWorks Leasing, involved 65 aircraft in Q4 2015, including the following: 

SkyWorks provided investment analysis and advisory services to a U.S.-based investor with respect to 55 aircraft of various vintages and types. Services included lease reviews, residual value forecasting and detailed modeling of maintenance reserve cash flows and aircraft condition at lease expiry. These efforts resulted in the successful acquisition of three separate transactions, including two B767-300ER aircraft (s/n’s 25585 and 25586) on lease to Air Canada, three A300-600F aircraft (s/n’s 759, 766 and 794) on lease to FedEx, and one B737-700 (s/n 28782) on lease to United Airlines. All six aircraft have been added to SkyWorks’ portfolio of assets under management. 

On behalf of a U.S.-based investor, SkyWorks arranged lease extensions for four DHC8-300 aircraft (s/n’s  131, 137, 143, 149) operated by Jazz Aviation.

On behalf of Scandinavian Airlines System, SkyWorks arranged the sale of three ex-Blue1 B717-200 aircraft (s/n 55064, 55065 and 55067) to Delta Air Lines. In another transaction arranged by SkyWorks, Delta acquired two MD90-30 aircraft (s/n’s 53458 and 53459) previously on lease from SAS. 

SkyWorks repossessed a B767-300ER (s/n 26470) in Toronto, Canada, on behalf of a U.S. investor. The aircraft had previously been operated by SkyGreece Airlines. The lease was terminated and the aircraft ferried to a U.S. storage facility pending a foreclosure sale.

Investment Banking & Management Consulting Group Activities

Investment Banking and Management Consulting services, provided through SkyWorks Capital, included the following: 

SkyWorks arranged sale and leaseback financings for five 737-900ER aircraft in its capacity as advisor to Delta Air Lines. The transactions followed the closings of four additional 737-900ER sale and leaseback financings arranged for Delta earlier this year.

SkyWorks advised El Al Israel Airlines in what CEO David Maimon called “the largest aircraft acquisition program in the history of El Al”, which resulted in the order of up to nine 787 aircraft and lease agreements for another six. The order will result in the complete replacement of the El Al widebody fleet and will deliver substantial operating cost savings and an improved customer experience. 

SkyWorks was also retained by El Al to advise on its engine selection for the 787, and is currently engaged to advise, structure, and negotiate a long term engine maintenance program related to the purchased and leased 787 aircraft.

SkyWorks arranged the sale of four ERJ-145LR aircraft on behalf of Embraer Asset Management to Plane Business Leasing. The transaction followed the sale of 12 E-jets to the same buyer earlier this year, also arranged by SkyWorks on behalf of Embraer. The portfolio consisted of one E-175LR, one ERJ-145LR, two ERJ-145MP, and eight ERJ-135LR aircraft.

SkyWorks conducted an in-depth review of Sri Lankan Airlines’ widebody network and fleet, including route profitability and aircraft-specific operating and ownership costs. As part of a follow-up assignment, SkyWorks is currently assisting Sri Lankan with the implementation of possible fleet changes.

SkyWorks completed the first phase of an in-depth fleet study for an Asian network carrier using its SAAV® Aircraft Asset Value Management System. The study is focused on potential fleet replacement scenarios and a comparison of the technical and operational profiles of certain aircraft types under consideration.

SkyWorks Capital today announced the appointment of Douglas Walker to serve as Managing Director.  Doug is based in the Company’s headquarters in Greenwich, Connecticut.  Doug will originate and execute financings for airline clients, as well as advise on fleet-related matters and corporate restructurings. 

Doug has held various senior positions in the aviation industry, most recently at SMBC Aviation Capital and its predecessor, RBS Aviation Capital.  While at SMBC, Doug was a senior vice president, responsible for financings with airline clients in the Americas.  Prior to SMBC, Doug was at United Airlines, as a managing director and senior counsel.  Doug began his career as an associate with Perkins Coie LLP, where he concentrated on corporate finance, aircraft finance, and mergers and acquisitions, with an emphasis on the aerospace industry.

Doug’s unique background, as a lawyer and business executive, as well as his longstanding industry relationships will be invaluable at SkyWorks in the future.  As Thomas Mahr, CEO of SkyWorks Holdings noted, “Doug’s strong relationships with airlines in the Americas and other regions around the world will enable us to bring SkyWorks’ value-added solutions to new clients in rapidly growing aviation markets.  His addition is timely as we continue to expand our state-of-the-art tools for commercial aircraft asset management.  We have known Doug for many years and are delighted he chose to join us.”

SkyWorks also announced the appointment of two new members to its Advisory Board, Jeremy Bloomer and Marie-Pierre Dhers.

Jeremy has had numerous executive finance roles, including as a senior portfolio manager for the Airlie Opportunity Fund, a $1.1 billion credit hedge fund focused on small cap, distressed high yield bonds, as well as a founding member of GLS Inc., a specialty finance company. Jeremy was an investment banker at E.F. Hutton and began his career in 1980 at Chemical Bank.  

Marie-Pierre brings more than 20 years of experience in European airline management, with a track record of executing aircraft-related transactions, driving growth and leading large transformation projects. Prior to joining the SkyWorks Advisory Board, she held various positions at UTA French Airlines, then at Air France, including VP of Corporate Finance, VP of Strategy and Development and SVP of French Airports.

SkyWorks Leasing announces asset management transaction for Q3 involving 12 aircraft

The transaction marks the first aircraft purchase for fastjet and is added to its fleet of five leased A319s.

The transaction marks the first aircraft purchase for fastjet and is added to its fleet of five leased A319s.

On behalf of a U.S. based insurance company, SkyWorks Leasing has arranged the sale of two MD11F aircraft (s/n 48549) to Bank of America N.A. and (s/n 28771) to Hinode Aviation Investments LLC, a GA Telesis acquisition vehicle. The aircraft are on lease to Federal Express Corporation until 2018.

On behalf of a U.S. based investor, Skyworks has managed the lease return of five ERJ145LR’s (s/n’s 145078, 145080, 145080, 145091 and 145100) from ExpressJet. SkyWorks subsequently arranged the sale of the aircraft to an undisclosed investor.

On behalf of a U.S. based insurance company, SkyWorks has managed the lease return of three ERJ145EPs(s/n’s 145007, 145009, 145026) from ExpressJet. SkyWorks subsequently arranged the sale of the aircraft to H5 Enterprises, a wet lease and charter operator.

On behalf of a U.S. based financial institution, SkyWorks has managed the lease return of one ERJ145EP (s/n 145025) from ExpressJet. SkyWorks subsequently arranged the sale of the aircraft
to H5 Enterprises, a wet lease and charter operator.
